By accessing or using MediAid Pro's healthcare management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our Service. These Terms apply to all users of the platform, including healthcare providers, staff members, and patients.
2. Service Description
MediAid Pro provides a cloud-based healthcare management platform that includes:
- Electronic Medical Records (EMR) management
- Appointment scheduling and management
- Patient portal for secure communication
- Telemedicine consultation capabilities
- Billing and insurance claim processing
- Analytics and reporting tools
- Prescription management
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.
3. User Accounts and Registration
To access our Service, you must:
- Provide accurate, complete, and current registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access
- Accept responsibility for all activities under your account
- Comply with all applicable healthcare regulations and professional standards
Healthcare providers must maintain valid professional licenses and credentials. You agree to update your information promptly if there are any changes to your professional status.
4. Acceptable Use Policy
You agree NOT to:
- Use the Service for any illegal or unauthorized purpose
- Violate any laws in your jurisdiction (including but not limited to HIPAA regulations)
- Transmit any viruses, malware, or malicious code
- Attempt to gain unauthorized access to any portion of the Service
- Interfere with or disrupt the Service or servers
- Use the Service to harass, abuse, or harm another person
- Impersonate any person or entity
- Share patient information outside of authorized treatment purposes
- Use automated systems (bots, scrapers) to access the Service
5. HIPAA Compliance and PHI
MediAid Pro acts as a Business Associate under HIPAA for covered entities using our Service. We will:
- Execute Business Associate Agreements (BAA) with covered entities
- Implement appropriate safeguards to protect Protected Health Information (PHI)
- Report any breaches in accordance with HIPAA requirements
- Use and disclose PHI only as permitted by the BAA and HIPAA
- Make PHI available to individuals as required by HIPAA
Healthcare providers are responsible for ensuring their use of the Service complies with HIPAA and other applicable healthcare privacy laws.
6. Professional Responsibility
MediAid Pro is a tool to facilitate healthcare delivery, but does not provide medical advice or replace professional medical judgment. Healthcare providers using our Service:
- Remain solely responsible for all clinical decisions and patient care
- Must maintain professional liability insurance
- Should verify all information before making treatment decisions
- Must comply with all applicable medical standards and regulations
- Are responsible for maintaining patient-provider relationships
7. Fees and Payment
Subscription fees are billed in advance on a monthly or annual basis. You agree to:
- Pay all fees according to your selected pricing plan
- Provide valid payment information
- Authorize automatic renewal unless cancelled
- Pay any applicable taxes
We reserve the right to change our pricing with 30 days' notice. Failure to pay may result in suspension or termination of service.
8. Data Ownership and Backup
Your Data: You retain all rights to data you upload to our Service. We claim no ownership over your patient data, medical records, or other content.
Backup and Export: We perform daily backups of your data. You may export your data at any time through our platform. Upon termination, you have 30 days to export your data before it is permanently deleted.
9. Service Level Agreement (SLA)
We strive to maintain 99.9% uptime, excluding scheduled maintenance. In case of service disruptions:
- We will provide advance notice of scheduled maintenance when possible
- Emergency maintenance may be performed without notice
- Service credits may be available for extended unplanned downtime (see SLA policy)
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- MediAid Pro provides the Service "AS IS" without warranties of any kind
- We are not liable for any indirect, incidental, or consequential damages
- Our total liability shall not exceed the fees paid by you in the 12 months prior to the claim
- We are not liable for decisions made by healthcare providers using our Service
- We are not responsible for third-party integrations or services
Some jurisdictions do not allow limitation of liability, so some of these limitations may not apply to you.
11. Indemnification
You agree to indemnify and hold MediAid Pro harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party, including medical malpractice claims resulting from your clinical decisions.
12. Termination
Either party may terminate this agreement:
- By You: Cancel anytime through your account settings (no refunds for unused portion)
- By Us: For cause (violation of Terms), with immediate effect
- By Us: For convenience, with 30 days' notice
Upon termination, your access will cease, and you must export your data within 30 days. We will securely delete your data after this period in accordance with data retention policies and legal requirements.
13. Dispute Resolution
Any disputes arising from these Terms or use of the Service shall be resolved through binding arbitration in accordance with the rules of [Arbitration Organization]. The arbitration shall take place in [Location]. You agree to waive your right to a jury trial or to participate in a class action lawsuit.
14. Changes to Terms
